Carl,
A few random thoughts as to why:

1. The huge psychological impact from the deal, as demonstrated by the market's positive reaction to the news.

2. It closes a lawsuit that potentially could be very expensive and draining for Rambus, thus allowing them to direct their limited legal resources to other violators.

3. Hitachi royalty flows from controllers will continue for the life of the agreement.

4. Reaching an accord with NEC's partner should enhance the likelihood of a Rambus/NEC agreement.

5. In addition to the financial benefits, it is another pin to fall (using Unclewest's bowling metaphor).

6. Each fallen pin strengthens Rambus' legal arguments that their patents are being violated.

7. The falling dominos and bandwagon effects.

I'm sure other board members can add to this list, but these are the obvious ones that readily come to mind.

P.S. Carl, I don't expect you to ever turn bullish on Rambus, but I wish you would try to be not so blatantly biased and try to evaluate somewhat objectively the ramifications of the rapid changes that are occuring in the Rambus story. Your technical expertise used objectively could be beneficial to both sides, and it would certainly enhance your reputation and respect on this board.
