The core of Luminent has been owned by MRVC for a long time. Small parts (FOCI et al) have been acquired recently. If I understand your post correctly, IF Alacatel (or whoever) wanted to acquire Luminent pre-ipo, then they may not be able to take advantage of pooling in accounting for the acquisition and would have to account for it as a purchase. I am sure that you will agree that this issue is different from whether or not the IRS will approve the tax-free nature of the spin-off of the remainder of Luminent (post-ipo) by MRVC. IMO this approval will occur; if there were serious questions, they would have been resolved by the company and the underwriters before the filing of the S-1. IMO the S-1 language is boiler-plate legalese to cover any unforeseen circumstances.
