TCOM Ventures Receives Offer to Be Acquired
ENGLEWOOD, Colo., Aug. 3 /PRNewswire/ -- TCOM Ventures Corporation (OTC Bulletin Board: TCMV - news) today announced that it has received a formal offer, dated July 31st, 2000 to be acquired by a growth oriented telecommunications company.
The offer is based on acquiring 100% of the outstanding shares of TCMV as of July 31st, 2000. TCOM has 25.9 million shares outstanding with the aggregate purchase being $77,700,000, which equates to $3.00 per share. The offer also stipulates that the acquiring company's Chairman will continue to serve as the Chairman of the Board of the merger. Dr. James C. Roberts, current Chairman of TCOM, will serve as Vice Chairman of the merged companies.
TCOM's Board of Directors has reviewed the offer and will call for a special shareholders meeting to be held to review the offer. The Board will be recommending that shareholders of record accept the offer. Upon receiving shareholders approval, the company plans to execute definitive agreements with a closing to follow immediately.
