It was announced way before the open on friday (2 am) and the stock barely budged. I've been in a few companies where it was stated that the number of outstanding shares was going to change (in the next qtr) due to this conversion of all the classes of stock that happens after IPO.

It doesn't seem like the street cares about this kind of "restatement" - don't you think calling this book-cooking is a little harsh?

When I first saw this I thought it might present a buying opportunity - I was expecting some difficulty with revenue recognition on some OEM deals but it wasn't even that severe.

All outstanding preferred shares of Nuance were converted to common shares in connection with the company's initial public offering on April 13, 2000, resulting in the difference between basic and diluted net loss per share and pro forma basic and diluted net loss per share during the second quarter.

The correction does not affect reported revenue or net loss and does not involve any restatement of results. The corrected consolidated statement of operations is attached to this release.
