A basic short trading question, When there is a proxy event who gets to vote?

If I have shares in my margin account my broker may loan them (without me even knowing about it, I think). A shorter has sold "my" shares to somebody else, so know there are two shares where there once was one. Are both shareholders of record with voting privileges? Would naked shorts be any different? It doesn't seem quite right that there would be more votes than total outstanding shares, nor does it seem right for a long to not be able to vote? I'm confused:-(
