I disagree with you. I think long term this merger presents fantastic opportunities for the shareholders of both companies. I own both stocks and will vote all my shares in favor of the merger - USRX\COMS's growth is currently undervalued by the market, however, when the doubts about USRX/COMS ability to compete subsides (i.e.competition from INTC in the NIC market and the issue on the two competing standards for the 56k modem technology) COMS is a $70 stock. In their respective areas COMS and USRX are industry leaders; on the WAN side USRX's modems are recognized the world over for their quality and dependability - on the LAN side COMS's NICs and hubs have the majority of market share and are widening their market share lead. The combined USRX/COMS annual $500 million R&D budget plus the exciting products that both COMS and USRX have in the pipeline make future growth of 25%/year quite realistic. I am very excited about the new Remote Access Server that USRX will be bringing to market shortly. RAS is the fastest growing and currently the most profitable segment of the networking market; should USRX's RAS cut into ASND's market share, the earnings growth at USRX/COMS would be explosive. Furthermore, if x2 is accepted as the industry standard for 56k modems, I think USRX/COMS could become the top dog in the RAS market, eclipsing ASND.
