Indigo Marketing Inc, located in Vancouver, represents Lifestream Natural Foods, Nature's Path Foods and Yves' Veggie Cuisine, among other well known natural food companies. Fri 16 May 97 Acquisition The VSE has accepted for filing an acquisition agreement dated November 12 1996 between the company and Ecoprogress International Ltd (an arms-length private company domiciled in the UK and beneficially owned by Barry Muncaster, Richard Brown and Malcolm Brown) whereby the company can buyout its ongoing US$6,000 per month research & development obligation to Ecoprogress. The R&D obligation is a clause in the exclusive licence agreement between the company and Ecoprogress (the licensor) whereby the company was granted the exclusive Canadian rights to a proprietary composite film material known as B-9 TM film. Consideration for the R&D buyout is 821,970 shares of the company valued at US$184,990 which represents two year's contributions together with all arrears presently due.
