Subject: Chairman’s Activity Update.


Dear Shareholders,
Pursuant to the subject of this letter, I respectfully submit to you the following information relating to the companies recent activities:


1. ADAIR is gearing up to begin the exploration operations in Yemen with the recent ratification by the Yemen Parliament. The President is expected to sign the decree in the next few days.
2. Mr. Gene Ackerman has been hired to be the onsite Operations Manager in Yemen and he will leave next week to begin the office organization in Sanna’. ADAIR is the operator for the ADAIR/OCCIDENTAL/SABA group.
3. Mr. Jalal Alghani is in Yemen at this time with the engineers of ARKEL conducting the feasibility on the Sugar Refinery/Co-generation Plant in the Free Zone of Aden. This project looks very promising and is on a fast track.
4. Mr. Fernando Infante, our engineer in Bogotá came to Houston last week with a proposal on the twenty (20) MW power plant and utilization of our natural gas in the Chimichagua Field.
5. PACE Engineering has been engaged by ADAIR to complete the feasibility on the power plant site in Kansas with the report to be complete within four (4) to five (5) weeks.
6. Mr. Paul Hodge, our in house C.P.A. has been involved with our outside auditor for the annual report and 10K, which will be filed prior to September 15, 2000.
7. The six hundred (600) MW power plant in Southern California continues to move forward with CALPINE and appears to be excellent project for all involved.
8. I have been developing four (4) other sites for natural gas power generation plants plus the company is generating a five (5) year cash flow summary for our potential investor. The ten ($10) to fifteen ($15) million we have requested will be utilized primarily for the acquisition of cash producing oil and gas properties with drilling upside that will fill the remaining gap in order for this company to move to the next plateau of growth
