Semper Resources Corp. announced that it has entered into an agreement to acquire the assets of Nicholson Machine and Technology Inc.

Our customer base includes all the major aerospace firms in the U.S. and Canada. Our systems are being used to assemble many of today's most modern aircraft including the 777, 717, C-17, F/A 18 Hornet, Dash-8 and V-22 Osprey Tiltrotor.

Nicholson provides tooling for space vehicles including theBoeing Sea Launch program, Space Station and Space Shuttle. We are also the major U.S. supplier of specialized satellite and antenna handling fixtures.

We offer the only U.S. production Stirwelding systems and have been selected to provide the Stirwelders for the next generation Space Shuttle fuel tanks.

We are a leader in the manufacture of precise satellite and antenna handling fixtures for government, scientific and industrial applications and a wide range of industrial workstand systems.

Space Systems / Loral has ordered one of the latest Nicholson Low Profile Heavy Load Satellite Handling Dollies. This will be the 13th handling system that Space Systems / Loral has ordered, and the first of this new type.

Nicholson has also begun constructing the first of several containers under a long-term contract from Waste Management for Hanford. The containers are designed for long-term storage of highly radioactive waste materials.

Boeing has ordered an additonal Nicholson Automated Positioning System (NAPS) for theF-18 E/F production program to meet their higher production rates for the aircraft.

Major aerospace companies such as Boeing, Lockheed Martin and Space Systems Loral rely on Nicholson to supply handling equipment, tooling and test fixtures for their satellites and antenna systems that cost hundreds of millions of dollars.

In the late 1970s Boeing began contracting with Nicholson for specialized aircraft tooling. This business grew steadily throughout the 1980s and 1990s. Over the past decades we have built a steady stream of tools and tooling for Boeing and other aerospace firms.

When the United Defense Corporation needed a 20-foot diameter turntable capable of handling loads of 250,000 lbs., with a positional accuracy that must be within 1 arc second (0.0025 measured at the periphery), they asked the Nicholson M&T Company to solve the problem. We did.

NUCLEAR PROJECTS

In the early 1990s, Nicholson accepted the challenge of manufacturing fixtures for nuclear material handling and storage. Today our products are in place in such sensitive locations as the Department of Energy's Hanford Nuclear facility and Lawrence Livermore National Laboratories.

Nicholson has manufactured over sixty Ion Exchange Modules for Westinghouse Hanford (now: Duke Engineering).

In 1992 Nicholson Manufacturing Company was awarded a contract to fabricate a Cask Loading Station for the Westinghouse Hanford Corporation.

The Nicholson M&T Company was asked to expedite manufacture of a series of stainless steel ventilation assemblies for the Lawrence Livermore National Laboratories (LLNL).

CUSTOM PROJECTS

On March 27, 1999, Boeing successfully proved its Sea Launch Program by sending a test satellite into space. The test satellite, known as the "Iron Bird", accurately represents the weight distribution and external envelope of actual satellites. Nicholson made critical modifications to the test satellite on a rapid turn-around basis to support the initial launch schedule. This launch is a major milestone in Boeing's entry into the commercial satellite launch business.

Large and complex products like tunnel boring machines are good examples of the 'total project' capabilities of the Nicholson M&T Company. We have manufactured a number of these machines for Robbins/Atlas-Copco, CTS and others.

Nicholson M&T Company was selected to supply the lift/turn machinery for the West Seattle Bridge Replacement Project. This was a very unique project, in that it is the only concrete bridge in existence that lifts and rotates the bridge deck during opening and closing.

The Boeing Space Station uses composite structural components that must be cured in an autoclave at approximately 350 degrees Fahrenheit. The Nicholson M&T Company made a vacuum lay-up too for this process.

One of the Nicholson Machine & Technology Company's contributions to the Space Shuttle program was a unique Shuttle Payload Cargo Module for Lockheed Aerospace Corporation.

Nicholson was chosen to manufacture the Trident Missile Launch Canister tool.

Nicholson has recently entered into a relationship with Fuller Bulk Handling in Bethlehem, PA, the world leader in pneumatic bulk handling systems. Combining the expertise of both organizations we expect to be in the forefront of bulk handling technology.

Non Magnetic mine sweeping winches are essential in modern naval fleets. The Navy selected Nicholson to remanufacture several of these winches.

The Lamb-Grays Harbor Co. selected the Nicholson Machine and Technology Company to build a limited production run of six 2,400,000 pound paper pulp dewatering presses.
