Dear TEDennis: "When we were finally able to contact him, he declined to participate, citing a broken relationship with the President of the former subsidiary."
This is starting to piss me off and I am not even involved. I dont know how it works in Canada, but in the USA if a professional service firm were to act like that your recourse is to contact their professional licensing organization and file a complaint. If they did the work they are to issue a letter. This attorneys letter is all bullshit anyway as basically all it states is that "To the best of their knowledge and belief" there are no "Contingent" (unfiled or threatened) lawsuits outstanding. Only if they knew of a potential threat and did not disclose it would they have any liability. If this guy has no relationship likely he has no knowledge. Another thing, even if he is owed fees by the PREVIOUS company he has no right to withhold from you if you will pay for the letter.
Bye the way, when you bought this company (or attempted too) didn't you do "Due Diligence" and get attorneys letters THEN as to any potential legal liablilities? If so why dont those suffice and why dont letters from THOSE attorneys BE SUFFICIENT!!!. Quit being Mr. Nice Guy and SUE THE BASTARDS!! JDN
