The former subsidiary was a newly formed company, created to market the PC-based Y2K kit, and thus had no prior legal history. It was already part of the company when I came aboard. There were no other subsidiaries at that time, so in essence it WAS the company. Re: "I dont know how it works in Canada, but in the USA if a professional service firm were to act like that your recourse is to contact their professional licensing organization and file a complaint." Both the law firm and the former subsidiary are/were Canadian entities. Re: "even if he is owed fees by the PREVIOUS company he has no right to withhold from you if you will pay for the letter" We're working on various solutions to this situation, and trying to determine the best (meaning quickest and least expensive) way to handle it. Unfortunately, the issues underlying this situation are a lot more complex than can be solved by two gentlemen over a morning cup of coffee. Re: "If this guy has no relationship likely he has no knowledge." He was their primary legal counsel, and advised them on several issues. He has in depth knowledge of the subsidiary's activities and obligations. Re: "Quit being Mr. Nice Guy and SUE THE BASTARDS!!" No comment.
