In the case of Unify, the CEO sold all his shares before the stock closed trading. I think one can use insider trading as a clue to possible negatives. This is especially true of smaller companies where top executives are compulsively dumping their shares. When one see this, it's a good idea to look extra hard at the company. One frequently will find signs of some of the factors you have indicated above.
