Dear Sam: On this one we are both correct:

This is correct **if** one signs the proxy statement and returns it with nothing checked.

If a shareholders does nothing, does *not* return the proxy form it is counted as a vote against.

I have to run out in a few minutes but I'm pretty sure I copied and saved the no proxy, vote against part. I'll look for it later and post it.
