Great news! This came off RB from Keith:

Ok one long post and that is it...

Actually CG is just one of the projects that will validate, the one of the things the shareholders are invested in. It is starting to look and feel like many of these projects are coming online at the same time... it wasnt planned that way, it just happened that way. I wish it hadnt because it has been a hard year for both the investors, management and the BoD, because of the delays. But as things come online, we will have progressed well beyond where we were this time last year. Something else we only purchased 740,000 of the 900,000 option shares... that is all we had.... ever. If we finished out the offering it would have caused us a huge cash crunch and may have jeopardized our ability to continue as a company. But the CG guys are good people and understand this, so they left the door open for us to increase our position when the economics are more favorable to CVIA. Which we may very well take them up on their offer.

I would like to address the impending merger and proxy information, this should be out and on the way to you probably no later than the second week of Sept. If the lawyers sign off. We are still working on the due diligence of the proposed assets, as they are with us, but so far everything is coming back positive and as presented to us.

Something to think about when you get this proxy, is one of the main reasons both sides are actively pursuing this is because, this merger will in effect, nearly triple the size of CVIA, without us adjusting the current evaluations of either CVIA or Venture. It will certainly move us light years closer to meeting the qualifications to get off this OTCBB. (which has been a top goal since day one.) Speaking of Venture, these guys are a roll up company, in other words they bought out several different LLPs, LLCs and private corps. Many of which will seamlessly compliment CVID and CVIR.

Speaking of CVID, we do own more than 12% of the company, I dont know the exact figure but know it is well above the 25% range. Just so you guys understand the 12% figure is the FULLY DILUTED figure. The reason we are using the 12% figure is Eric is moving fast and acquiring companies and land, if he uses stock it causes us dilution... which is in the terms of our agreement, but we have a stop at 12%, in other words that is as much as CVIA's position can be diluted... is 12% FULLY DILUTED

Back to the Venture acquisition/merger, Talks have been going on since May/June so we have intentionally left some BoD seats open for these guys if it is approved by you guys. Bob Hildinger is a real estate specialist and has been a huge big time help in the DD of this, you guys should be thanking him because, like everyone else he is doing his best to look out for your interests and he has asked for nothing more than to receive what all the directors get for a BoD meeting... what a bargain. As busy as Eric has been with CVID, he too has been invaluable to the DD of this merger. Once again he too has asked for nothing, other than seeing the stock price improve and CVIA do well.

Some of you have been speculating about insiders or ex insiders "dumping" actually nothing could be further from the truth. They know what we have and even though they are free to sale their position(s) they wont, simply because this price per share is way out of kilter with the reality of what CVIA is doing. Those 144 forms that were filed, was those guys selling shares to pay for their employee option package from 1999. No one gets a free ride, even on employee options.

As it seems we do have a short position against us, we do have a strategy in place to combat this, but have not executed it yet, simply because of some of the forces in play at the moment... but we are aware of our investors and how the price per share affects your investment.

We do have a sleeper company... that no one ever talks about, also gearing up for their public debut and distribution of internet things... so its is going to be a very nice lucrative fall for us, it will certainly be nice to see fall, and start "harvesting" the seed capital sown earlier this year.
