FAILED TO MEET REQUIREMENT OF DIRECTORS & FAILED TO REPORT
The JVAG Report criticises Armand Beaudoin (then Director and officer) and Andrew Chater (then Director) for breach of the Corporations Business Corporations Act, Section 102, Subsection 2:

"...shall have not fewer than three directors, at least two of whom are not officers or employees of the corporation or its affiliates."

The breach started in Nov/Dec 1998 with the resignation of Gary German - the corporation then only had Andrew Chater who a SINGLE director who was neither an employee or an officer. From that date, the Board of Java GOld Corporation was not operable in the manner stipulated by law.

At no time was this breach notified to the shareholders or to the regulators.

Anyone who made an investment decision regarding Java Gold Corporation after Nov/Dec 1998 in the belief that the company had a legally compliant board of directors may have a claim, and should seek professional legal advice."
