TAS 3$m LOAN - MORE CONCEALMENT OF MATERIAL FACTS
The JVAG Report criticises Java Gold Corporation - specifically Armand Beaudoin and Mrs Khajidsuren Choijiliin - for actions on 9th June 1998. On that day, JVAG reorganised the board of Zaamar Goldfields Ltd.(Mongolia), a 100% subsidiary of Zaamar Goldfields Ltd. (BVI) in turn a 100% subsidiary of Java Gold Corporation.

Without reporting the matter to the shareholders of Java GOld Corporation, the Board reorganised all the placer holdings of JVAG in Mongolia as assets of Zaamar Goldfields Ltd. (Mongolia). Immediately, this subsidiary became the holder of all the key assets of Java Gold Corporation.

The JVAG Report presents the line-up of the new board of Zaamar Goldfields Ltd. as:

Armand Beaudoin General Director
Khajidsuren Choijiliin Director
John Herbert Director
Jamjinjav Batbaatar Director

The voting on of Batbaatar was quite extraordinary - he was (and is) the General Director of TAS Corporation, owner of 65% of the shares of TAS Corporation, and these shares were the security of the 3m$ TAS Loan from Java Gold!

This potentially hazardous and questionable material fact was never revealed to JVAG shareholders. The scale of the hazard became clear a little later. In early 1999, John Herbert resigned and then Armand Beaudoin passed away. So the Board of Zaamar Goldfields Ltd.(Mongolia)consisted then of TWO directors - 50% of the voting power belonging to Batbaatar of TAS Corporation, the 3m$ debtor! The two directors appointed in 2000 Harry Vassar as General Director.

Thus the main debtor of JVAG cast a 50% vote for the election of the General Director of Zaamar Goldfields Ltd whose assets include ALL the key assets of JVAG i.e. the placer gold licenses and placer equipment.

Again it would appear that anyone who made an investment decision regarding JVAG in the period since 9th June 1998 may have a claim, and should seek appropriate professional legal advice.
