I havent checked this, but could it be that one or both are notionally headquartered there (on paper, not physically).

(One reason I couldnt check is that a search of the Sandisk site for 'Delaware' gave no hits, and the Lexar web site is down [8am UK time])

Many US companies are registered there, because of laws to do with takeovers. A silicon valley based company that I worked for some years ago was registered there, and I recall the reason being a 'poison pill' defence that is apparently only legal in Delaware. It was to do with the company being able to issue large numbers of voting shares in the event of a hostile takeover, that effectively made it close to imossible for it to succeed.

Maybe we have a lawyer here who can confirm?
