AMD plans to raise $2 billion, possibly for acquisitions

SUNNYVALE, Calif. -- Is Advanced Micro Devices Inc. looking to make another acquisition? The Sunnyvale chip maker said in a filing to the Securities and Exchange Commission this week that it is seeking to raise $2 billion in stock and debt securities, with some of the money going for future acquisitions.

No possible acquisition targets were identified. AMD officials have traditionally said that the company is always open to acquiring companies that could beneficial to its strategies.

Some sources speculated that AMD might be interested in buying Transmeta Corp., the new startup processor company that is starting to get its very low-power chips designed into notebook PCs andInternet-access devices. However, last month, AMD president Hector de J. Ruiz said in an interview that the two IC companies were tentatively discussing technology cooperation and nothing more than that (see Aug. 22 story).

The rest of the cash raised in the new offering would be used to reduce outstanding debt and increase working capital. Sources believed some of the cash would also be spent on early planning for the projected new 300-mm wafer Fab 35 that AMD officials have discussed.

AMD is seeking to sell $1.5 billion in new securities. The company told the SEC that it also plans to sell an additional $483 million in unsold securities from a previous SEC filing.
