Highlights:
- We are downgrading our rating from Buy to Hold.
- There is a confusing picture about the real reason for the $500 million
revenue shortfall in 3Q.
- While the company blames a weak European market, we suspect the real reason
is market share loss to the resurgent Advanced Micro Devices (NYSE: AMD-$27
9/16, N/R), not a production or yield problem.

- If we are correct, that only means a price war in X86 microprocessors
starting in 4Q2000.

Reason for Note: Downgrade from Buy to Hold

We have checked with suppliers, DRAM vendors, PC companies and AMD. One thing
we are sure about is it does not appear to be an industry-wide problem but has
bad implications for Intel near term, whatever the true reasons are.
