It really depends on what you're using your computer for. If you're not playing 3D games, upgrading the videocard is not going to give you anything. Even with the T&L assist that the GF2 MX gives, your CPU is still underpowered.

Most motherboards that use the c300a accept PIII's and the new CeleronII's (which also can be overclocked). You may have to use a slot 1 adaptor depending on your MB.

If you switch to a Duron, you'll need to replace your MB as well and AMD compatable MB's are fairly expensive. You also might have to replace your ram.

Upgrading the CPU to another Intel CPU or putting more ram in if you have less than 128 meg probably are the best options.
