Two questions from a beginner,

Is the following release good news? this is the 2nd time i've seen it in 2 weeks:

(Block Trade - General Instrument (NYSE:GIC) 486,900 Reuters, Wednesday, May 21, 1997 at 09:51 at 24-3/8, unchanged, crossed by Salomon

Secondly, what does it mean when the news release is something like "ALERT: XYZ, Inc. = 3".

i've seen the number (=) vary from 1 to 5, but what is this signifying?
