BIFS Company Profile BioFiltration Systems, Inc. (BIFS) was incorporated on 17 December 1992. The company is currently traded on the National Daily Quotation Bureau Pink Sheets. On 3 February 2000, BIFS filed their Form 10SB/12G with the SEC in order to become a fully reporting OTC Bulletin Board (OTCBB) stock. On 2 June 2000, BIFS received a relisting comment letter from the SEC and responded to the enclosed questions. The company is now responding to another set of questions from the SEC. Once the SEC has no more questions then the lead Market Maker (Equitrade) will file the appropriate paperwork for BIFS' relistment on the OTCBB. In the meantime, the company has and continues to comply with the timely submission of all required financial reports.
BIFS has two main lines of business: wastewater treatment and high-speed Internet access. The company acquired a patented technology under Patent number 5,205,935. The technology provides a method and apparatus for the continuous degradation of hazardous paint and organic solvent wastes. The apparatus includes a high performance fixed film bioreactor system that remediates and purifies contaminated waters. . The CEO intends to sell or lease these systems to customers worldwide. From inception (17 December 1992) to 31 March 2000, the company has been in the developmental stage. During this time, management had been engaged in business planning activities and obtaining capital. The company became operational on 1 April 2000.
With a wastewater disposal problem of both national and international magnitude, the company's market would encompass everything from Federal, State, and local government operations involving the disposal of organic and/or hazardous waste to manufacturing companies producing everything from automobiles to silicon chips. A growing international awareness of the severity of environmental pollutants with a subsequent governmental need to address these issues creates a tremendous marketing opportunity of which the company intends to take advantage.
In March 2000, BIFS started expanding its business by acquiring BeachAccess.net, an east coast Internet service provider. By diversifying into an unrelated business, the company is not so reliant on one source of revenues and will now be able to employ this technology into their remote biofiltration plant sites, once operational. The technology group, BeachAccess.net, is operated as a wholly owned subsidiary and has already acquired a computer hardware distributor; three companies offering Internet service, website hosting, website design; a wireless network provider, and a business-to-business network provider.
In July 2000, BeachAccess.net successfully completed the development and testing of their new Seamless Wireless Omni-directional Mobile Internet (SWOMI) system and immediately rolled out this new wireless service to area customers. SWOMI offers customers mobile Internet at 2 Mbps which is greater than current T1 speeds. By obtaining speeds 100's of times faster than conventional internet, it eliminates the need for landlines or cables thus assuring customers live 24 hour Internet connections without the worry of being disconnected or getting a busy signal. By eliminating the telephone company, SWOMI is taking back complete control of the Internet, and offering customers worry free access. Once the infrastructure is in place, SWOMI will then be able to offer bandwidths of 11 to 25 Mbps for conventional point to point and point to multipoint connections.

BIFS acquired Beachaccess.net (in SC) for 2,000,000 shares of restricted common stock. Beachaccess.net acquired the customer accounts, operating and fixed assets of PSC Internet (in SC), SOS Computer Systems (in SC), Skynet (in NC), and PC Wholesale (in NC) for 8,600,000 shares of restricted common stock. An undisclosed amount of shares were used in Beachaccess.net's most recent acquisitions of Revcon Technologies Corp. (in TN), and Alliance Technologies Corp. (in SC).

President and Chief Executive Officer Alpha (Al) J. Keyser has more than 30 years experience in construction, heavy equipment manufacture development operation and sales, oils and gas drilling operations, and explorative hydrogeology. Mr. Keyser has started and served as CEO of a number of successful small businesses in these areas. In 1989, he started AAA Environmental Services Corp., an environmental services company formed for the development and marketing of equipment, technology and services in wastewater environmental clean up, solid and hazardous waste treatment and air emission control. From 1985 to 1988, he was President and owner of Algasco, Inc., a natural gas exploration and development company which drilled 19 gas wells in the vicinity of Victoria, Texas. From 1978 to 1986, he was President and owner of Alpha Gas Development, Inc., which was formed to do well exploration and development in Kentucky. The company leased in excess of 35,000 acres in Whitley County, Kentucky, resulting in the discovery of one of, if not the, largest gas field in the state. In 1985, the company obtained a $500,000 grant from Department of Energy to provide the extension of Devonian shale into southeast Kentucky. Mr. Keyser sold the company in 1984 but remained as President and CEO until late 1986. From 1973 to 1977, he was the owner and President of Al J. Keyser, Inc., which marketed and installed more than 60 sewage pumping stations in southwest Florida. From 1963 to 1972, he was Eastern Regional Sales Manager for Hein-Wenner Corp. He became the number one producer in the company. From 1960 to 1963, he was employed in the sales department of Bay City Shovels and was responsible for installation, demonstration and troubleshooting for a worldwide producer of heavy construction equipment, cranes, backhoes and shovels.

BeachAccess.net (BIFS Subsidiary) Beachaccess.net is a fully owned subsidiary of BioFiltration Systems. Jay Knabb, the CEO of Beachaccess.net, retains his job and position but now has access to capital to expand his company and has already done so by purchasing seven other companies. Beachaccess.net also provides much needed technical expertise and resources to BioFiltration Systems for developing a system to monitor its remote biofiltration plant sites via the Internet. It really is a WIN WIN situation for both companies.

In July 2000, the company started marketing its SWOMI high speed Internet access solution to hotels, resorts, condominiums, and residential users in Myrtle Beach, South Carolina. Once the system is fully installed, Beachaccess will offer its Internet service to an area spanning from Georgetown, South Carolina to Calabash, North Carolina, thus creating the first multi-state roaming wireless high-speed broadband network.
The company plans on becoming a nationwide service provider and has already built 18 miles of cells along the Grand Strand in South Carolina, financing the construction internally, and is negotiating with a large company interested in financing a national rollout of the service.
