( BW)(ASCEND-COMMUNICATIONS)(ASND) Martin Lee Schoffstall Named To
Ascend's Board of Directors; Noted Internet Entrepreneur to Help
Guide Ascend's Strategy for the Internet Market

Business Editors & Computer Writers

ALAMEDA, Calif.--(BUSINESS WIRE)--June 24, 1996--Ascend
Communications, Inc. (NASDAQ: ASND) today announced that Martin Lee
Schoffstall has been named to the company's board of directors. "We
are extraordinarily pleased to have Marty working with us in a
strategic capacity during what we see as a pivotal period in the
history of the Internet," said Mory Ejabat, Ascend's president and
CEO.

In just a few short years Ascend has emerged as a leading
provider of Internet access and remote networking solutions for ISPs,
corporate central sites, remote offices, Carriers and RBOCs.
"Ascend's leadership position is the result of some astute
predictions we made early on about the growth of the Internet and
direction of corporate networking -- but we have just begun to unlock
this market's potential," Ejabat said. "Marty's vision and
expertise in the Internet infrastructure will be a tremendous asset
in keeping our remote networking product strategy on target and we
are very pleased to have the benefit of his experience as we continue
to address these exciting markets."

Schoffstall is known throughout the industry as the co-founder of
the world's first commercial Internet Service Provider, PSINet. The
entrepreneurial vision behind PSINet grew out of his experience as
vice president of technology and co-founder of NYSERNet (New York
State Education and Research Network) in the late '80s. He is also
one of four co-authors of the Simple Network Management Protocol
(SNMP), the industry standard for network management. He was named
one of the top 25 "Network Visionaries" by Communications Week in
1992 for his role in helping to shape the internetworking industry.

Earlier this year, Schoffstall founded Epicenter, Inc., a content
provider of Entertainment, Software Technology and on-line gaming for
the World Wide Web; he serves as president and CEO of the new
company. Schoffstall has a B.S. in Computer and Systems Engineering
from Rensselaer Polytechnic Institute
