Beautiful Rudi, your post confirmed a telepathic message I received from you as soon as I read Sarkie's post. Yes, I am tuned into your brain. The merger can become effective immediately, although the Prospectus says that the parties expect the merger to be completed no later than December 31, 2000. (See p. 3 of Prospectus: Q. and A. at bottom of left column on p. 3). The second Q. and A. of right column on p. 3 state that the obligations to complete the merger are subject to satisfaction or waiver of specified conditions. Those conditions appear at pp. 76-77. A hasty reading of those pages reveals no conditions not already satisfied. If that reading is correct there appear to be no obstacles to an immediate closing, the details of which appear in Sarkie's post...if I am correct.
