To all interested parties:

Data Exchange, Inc. (DEI) has acted to formally terminate its merger agreement with Global Telemedia, Inc. (GTMI).

Because the merger agreement with GTMI has been terminated, Mr. Ken Heffner, CEO of DEI, will not be assuming the position of Chief Technology Officer of GTMI, which would have occurred only if the merger had been completed. All other DEI employees previously referenced in GTMI press releases will also not be serving in any capacities with GTMI.

DEI's products are alive and well. DEI maintains full and complete ownership of its MessagePilot™ product. DEI's progress on MessagePilot™ development and marketing is on track with general availability scheduled for the 3rd quarter of 2000. Customer interest in MessagePilot™ remains strong. DEI should be announcing some major commitments to the MessagePilot™ product within the next month.
