( BW)(ASCEND-COMMUNICATIONS)(ASND) Lucent Technologies Integrates
Ascend's Remote Access Server Platforms into New Internet Offering

Business Editors & Computer Writers

ALAMEDA, Calif.--(BUSINESS WIRE)--June 25, 1996--Ascend
Communications, Inc. (NASDAQ: ASND) today announced an agreement
with Lucent Technologies, Murray Hill, N.J., to include Ascend's
remote access servers into Lucent's new Internet Access Gateway.
Lucent Technologies, a premier provider of networking software and
systems to communications companies around the world, will use the
Ascend products to support a comprehensive set of applications,
including Internet access, on-line services, telecommuting and
electronic commerce.

"We have selected the Ascend remote access server platform as a
key component of our Access Gateway offering," said George Foley,
director of business development at Lucent Technologies. "Ascend's
flexible and robust dial solutions integrate naturally with our core
switching products, operations support systems, security servers and
network management tools. Our strategy is to provide a high quality,
state-of-the-art gateway solution that will exceed the
internetworking requirements of all our customers."

"Lucent Technologies' choice of Ascend is recognition of our
leadership in remote networking products," said Bernie Schneider,
Ascend's vice president of marketing. "Our remote access servers
provide a complete and integrated point-of-presence solution.
Ascend's comprehensive features and high reliability combine to drive
down operating costs for service providers and lower connect charges
for end users."

This agreement broadens an existing relationship between Lucent
Technologies and Ascend, whereby Lucent's Business Communication
Systems business resells Ascend's products to end-user customers.
Ascend and Lucent's Network Systems business also plan to enhance
current platforms to meet service provider requirements and
collaborate on future products and technologies.

Lucent Technologies' initial Internet access gateway offering is
based on Ascend's MAX platform, which handles up to 96 simultaneous
calls and supports analog, Frame Relay, leased line, switched 56 and
ISDN on a single integrated platform. The company plans to include
Ascend's next generation platform to support more connections and new
services as it grows its Internet business.

According to the 1995 Dell' Oro Group Market Research Report, the
Ascend MAX has captured 47 percent of the Access Concentrator market.
This makes Ascend the de facto standard access platform for ISPs
worldwide. Ascend products allow corporate networks, telephone
companies and ISPs to concentrate analog and digital traffic from
telecommuters, mobile workers, remote offices and Internet users onto
cost-effective digital access lines.

Ascend Communications, Inc. is a leading, worldwide provider of
remote networking solutions for corporate central sites, Internet
Service Providers' points of presence, remote offices, mobile workers
and telecommuters. Ascend develops, manufactures, markets, sells and
supports products which utilize bandwidth on demand to extend
existing corporate networks for applications such as remote LAN
access, Internet access, telecommuting, SOHO connectivity and
