Dear sweet, charming, unrepentant, bibulous and, most of all, Beautiful Rudi:
How unprofessional of you not to be a lawyer or accountant. If you have any further difficulty understanding the sequence of events, please lift Arthur from his recumbent position in the kneehole of the desk, let him see the monitor and, after he reads this message, he will woof the situation to you.
But, before I commence the third explanation (the second iteration) I must must make this inquiry...Where is Sarkie? The family of shark ladies is incomplete without her. As am I. Without her kind and gracious intervention I would not be here now. Knowing her penchant for the klutzy I fear for her well being. Please, Sarkie, let us know you are alive and well. Being detained on the golf course is an acceptable excuse.
Now, Beautiful Rudi, let us return to the lesson. Please pay careful attention and don't let your mind wander to the bottle. If we assume that the GNET and INSP shareholders, in separate session, each vote in favor of the merger, all conditions precedent to completion of the merger will have been satisfied. All that remains for finality are certain housekeeping details, all of which are set forth at the cited references in the agreement. (Revisit my original message and Sarkie's earlier one for any additional details should you need them). Those ministerial (housekeeping) details can be accomplished in hours, but, certainly, in no more than three days. (I allow extra time should the appropriate documentation not already have been sent to the State of Delaware for filing, etc.). Upon completion of any other required filings (two of which may be with the SEC and Nasdaq, but I'm not certain and don't care to recheck the proxy statement, now) the merger is complete and GNET is delisted.
The quarterly reports are entirely separate from the merger process and, in all probability, will be issued on the date HO-MEE mentioned. As someone else suggested about a month ago, a consolidated quarterly report, combining the individual entities' 3rd quarters, remains a possibility.
Whew. I'm tired. I haven't worked this hard since last I entered your brain.
Say hello to Arthur. But don't awaken him.
Sy
I can't believe how rude and pompous this sounds. I really just meant it to be interesting. |
