Such a negotiations would have been done in "bad faith".

Two companies get together and license a technology separately with Rambus and then conspire to get around the license agreemnents by means of a joint venture. This would be an invitation to treble damages for willful infringement in any ensuing lawsuit by against the joint venture. It would also be a case(s) for fraud under contract law. No doubt NEC and Hitachi gave up the right to sue Rambus to challenge its patents. This is a standard clause in patent agreements.

So these fears are IMO unfounded. NEC and Hitachi can not be that stupid.
