NEC-Hitachi joint venture considers Rambus licensing deal
The clock is ticking for Elpida Memory Inc., which has until next year to sign a licensing deal with Rambus Inc. or face the wrath of the litigious intellectual property (IP) company.

On Jan. 1 of 2001, the last remaining staff from Hitachi Ltd. and NEC Corp. move across to the joint venture and Elpida will become a legal entity, able to sue and be sued. Elpida's management team has until then to decide whether or not to ink a deal to license the SDRAM and double data rate (DDR) memory technology Rambus claims as its own.

Insiders said NEC and Hitachi's decision to split ownership of the new company right down the middle was made for sound legal reasons. "There was a discussion that as little as one share either way would have a lot of legal ramifications in terms of third-party agreements," Despotes said. Third parties like Rambus.

Most analysts agree that Elpida will capitulate and ink a deal to smooth the way for the newborn venture. "A new DRAM company like that doesn't want to make any enemies," said Bert McComas, founder and principal analyst at InQuest market research firm, Gilbert, Ariz.
