And just to add to what Peter M has said, the reason it's a slight positive is that it's naturally associated with a tax loss. The tax loss has value if the company ever becomes profitable and also possibly has value in an acquisition. The rules for what happens to a NOL (operating loss) in any change of control are very complex. They are designed to prevent the loss simply being "sold" and utilized by another, profitable, company. (BTW, New Jersey, I think alone among states, allows the state tax loss to be directly and simply sold).
