Here's my take (as uneducated is it may be

Only actual share holders are getting to take part in the IPO. ALA is an ADR and AT>TO is an exchangable share therefor neither of them qualify as actual shares.Only shares traded in Europe qualify

As for the value of the division.ALA shareholders still own 80% of the optronics division.The cash from the IPO can be used to buy other companys and expand optronics. Also by only spinning off 20% they can use ALAO shares as currency for purchases while still maintaining control of the company.

The % owned of the division (through share dilusion) may go down but the company will grow with the infusion of cash and
M&A

So in short we have a smaller peice of a bigger pie (much bigger hopefully)
