Gemini Announces New President, Financing

Mark Jarvis, Chairman of Gemini Energy Corp., announced today that Donald A. Sharpe is joining the Company as a director and President. Mark Jarvis is resigning as President and will remain Chairman of the Board.

"Don brings a lot of experience to the table, particularly in terms of managing oil and gas companies during their high growth stage," said Jarvis. "His inclusion brings depth to our board."

Mr. Jarvis also announced that the Company has arranged a brokered private placement of 750,000 special warrants at $.85 per special warrant. Each special warrant will be exchangeable for one unit of the Company, for no additional consideration, and will be comprised of one common share and one underlying share purchase warrant. Each share purchase warrant entitles the holder to acquire a further common share of the Company for a period of two years, at a price of $1.06 per share. Both the special warrants and the underlying share purchase warrants will be non-transferable.

Canaccord Capital Corp. is acting as agent in the transaction and will receive as consideration a commission of 10% of the gross proceeds and an agent's special warrant equivalent to 10% of the number of special warrants sold under the offering. Each agent's special warrant will be convertible into an agent's unit for no additional sideration. Each agent's unit will have the same terms
as the offering units.

Proceeds of the private placement will be applied to the general working capital of the Company.

Mr. Jarvis also announced that the Company has granted 200,000 incentive stock options to its employees and directors. The options are set at an exercise price of $.85 in accordance with the Canadian Venture Exchange Policies and have a term of five (5) years.

The private placement and options are subject to the applicable regulatory approvals.
