I don't see what you find objectionable with this:

And, well, why not an "if not"? There's an "if not" to every decision we make. We can't predict the future. There are some nice perks if it doesn't work out. What's wrong with that?

"And, if not, there's those 4 yearly expenses-paid vacations in San Diego, and the chance to smoke a couple of Cuban cigars and get together and harummmph with the old boys..."

Sitting on BODs is what a lot of retired executives do. It's largely an honorary position, it's a way to keep in touch with the industry if they want, and and some find more rewarding than golf.

So, why not, indeed, sit on the board of a fine little company?

Doesn't change the fact that the stock is way over-valued.

You're hidden message is that EDIG should be able to support any arbitrary valuation that you might suggest, because 3 retired Intel executives joined the board. No math required! 3 retired Intel executives joined the board, therefore EDIG is going up!
