Mark, selling pcl may not provide you protection. The risk in this deal is a no go by IRS. In which case nothing happens to pcl and tgp collapses. The arbs have a much better ability to assess whether a reit will qualify for tax free exchange with regular way corporation. From their market price assessment they must see a reasonable amount of risk.
