This private placement has all the earmarks of an illegal "no risk" transaction based on the information provided in the Zitel news release. A FORMULA to calculate the conversion rate AND a VARIABLE amount of shares to be converted? I have never seen anything like this! These so called "institutional investors" appear to be guaranteed a profit!
