Someone please correct me if I'm wrong, but I am under the impression that a Securities Form S-8 detailing this financing deal must be filed within 45 days of the deal. So for now at least one of the "laws" you are presuming to be violated is not actually being violated. We've already seen projections that suggest the holders of the debentures can make money whether the price goes 15 points in either direction, and in the next 45 days either one of those scenarios could very well take place. So it could all be done with before the filing. Who could that hurt(or help) the most?
