Sycamore Networks Seeks To Hike Authorized Shrs To 2.5B

WASHINGTON (Dow Jones)--Sycamore Networks Inc. (SCMR) is asking its
shareholders to approve a proposal to increase the number of the company's
authorized common shares to 2.5 billion from 1.5 billion, according to a
preliminary proxy statement filed Friday with the Securities and Exchange
Commission.

Shareholders may vote on the proposal at the company's annual meeting in
Boston scheduled for Dec. 14.

The company said in the filing that the availability of additional authorized
shares will provide it with the flexibility to issue common stock for purposes
which may be identified in the future.

Such purposes may include, acquisitions through the use of stock, the
establishment of strategic relationships with other companies, the adoption of
additional employee benefit plans, and effecting stock splits, according to the
filing.

Sycamore Networks, based in Chelmsford, Mass., is a fiber-optic networking
products company.
