Good evening everyone -

I haven't checked in on this thread lately - so I thought I might give everyone a short update.

1. We've just completed a joint venture relationship with a limited partnership who has purchased an interest in the company's current product lines. (Does not include new products such as Thinkology.) Cash proceeds to the Company could approach $1 million with no dillution to current shareholders. Official news to follow next week or so.

2. Thinkology is in the field being tested - WOW - A Director of Technology for of the largest district in our area is leaving the district and coming to work for Heartsoft because "Thinkology IS THE WAY WE SHOULD BE TEACHING OUR CHILDREN USING TECHNOLOGY." Trust me, in the position of purchasing technology for over 100 schools, she has seen it all. Thinkology is big, big time for HTSF.

3. We are talking with Apple about the possibilities of them handling distribution of Thinkology bundled with their schoool computers - I know you Windows guys hate it - but Mac is purchased by about 60% of all schools. This will take a while to get finalized, but will be huge revenues for HTSF if it can be closed. We will also be talking with other hardware people who sell into the school market.

4. We are negotiating with a publisher of books purchased by homes and schools all over the country to produce 6 CD-ROM versions of their books. They currently do about $20 million a year, and we would have exclusive world-wide rights to market the technology component under their & Heartsoft's name. Hope to release who it is in the next few weeks. IF THIS FULLY MATERIALIZES, THIS DIVISION'S REVENUE COULD DWARF OUR SALES TO SCHOOLS since distribution would be to the home/retail market, but through less traditional marketing channels. Also, I haven't met a parent who has children under 10 years old who does not know this company and its products. So the line will literally pull itself because of name recogniztion. Even considering television advertising of the CD-ROMs.

We are looking into increasing the PR on the stock - you will see the response as we are sucessfull. The biggest events in Heartsoft's history are yet unfolding as I write this. Please call me if you have any questions -

warmest regards, Benjamin Shell, (800) 285-3475
