Analog Devices to acquire Chiplogic in all-stock transaction

MANHASSET, N.Y. — Moving to strengthen its hand in the broadband market, Analog Devices Inc. announced Monday (Nov. 20) its purchase of privately-held Chiplogic Inc. (Calabasas, Calif.), a developer of ICs and software focused on the convergence of voice, broadband access and network protocol processing. "Buying Chiplogic expands ADI's xDSL as well as broadband communications offerings through Chiplogic's expertise in higher layer communication protocols," said Russ Johnsen, vice president and general manager of the Communications Products Division of Analog Devices (Norwood, Mass.). "This has direct strategic relevance to ADI's physical-layer efforts in wireless communications, and will eventually support our optical-networking efforts as well."
Chiplogic has approximately 120 employees based at Santa Clara headquarters or in Hyderabad, India. The company has been developing technology it calls a convergence exchange platform, which links any physical layer device with the higher-layer network processing required to address voice, data and video, the company said.
Other technologies under development at Chiplogic include voice processing and switching, ATM-layer processing and TCP/IP protocols on a highly-integrated silicon platform.
"They've been able to develop an effective architecture that enables optimized partitioning between hardware and software," Johnsen said. "Its OSI 2 through 4 capability will allow ADI to readily address the emerging IAD [integrated access device] market, but also other requirements at the edge of the network, including wired, wireless, and eventually optical."
Chiplogic will, in turn, take advantage of ADI's position in the physical layer ADSL market, and also ADI's position in the voice-over-Internet Protocol gateway-processing market, along with Analog's significant strength in DSP.
ADI will acquire Chiplogic for approximately 1.35 million shares of stock in an all-stock transaction, and will assume outstanding Chiplogic stock options. The deal is expected to close in the next few weeks.
The Chiplogic deal follows ADI's recent announcement of its purchase of Thomas Neuroth AG (Vienna, Austria). Neuroth is a developer of ICs for symmetric DSL (SDSL) broadband access, and has considerable experience developing products for HDSL and G.SHDSL applications.
