These are all excellent points.

Implicit in any contractual relationship is the understanding of good faith and trust and fair dealings between the parties. When a party damages those implicit elements, no piece of paper can restore them. When a party explicitly violates the mandates of an agreement (as DEC is alleged to have done in the case of failure to return proprietary materials to Intel upon demand), renewing and/or initiating new contracts with that party could be viewed as imprudent at best.
