I understand your point, but I believe that anyone acquiring shares on the open market has to make an SEC disclosure if they acquire more than 15% of the company. so if they acquired 51% then sure, the junior shares are a non issue, but if someone made an SEC disclosure and started trying to accumulate a 51% interest, then the company could implement the poison pill immediately. In addition, the share price would probably escalate dramatically if it became known that someone was trying to buy up a controlling interest. Either way, they protect from a low price buyout which would impact shareholders and the company adversely in the long run..

this is all just my opinion as I have no real expertise in this area. I too am neither long nor short ICGE. but have traded it and will again probably.
