I think the differenece between 3.8 (the conversion ratio if the buyout is approved) and the current trading ratio - 3.2 to 3.5 - reflects the risk that the deal may not be approved. An experienced writer on thestreet.com explained it this way. Any other views or comments? Does this make sense? Ravi
