Taken from recent SB-2 filing:

============================================================

THE OFFERING

Common stock offered by selling stockholders
(including shares underlying convertible notes and warrants)........ 67,029,396 shares
Common stock to be outstanding after the offering 128,342,072 shares
Use of proceeds..................
We will not receive any proceeds from the sale of the common stock.

============================================================

Assuming these 67,029,396 shares are part of the alleged $10,000,000 financing, this averages .15 per share.

However if all these shares have, or will be acquired for the $2,000,000 previously mentioned then the average is .03 per share.

All comments and theories welcome.
