Verano Acquires Agilent Technologies' Automation Integration Software Business Combination of Business-Facing and Production-Facing Processes Creates Industry's First 'Closed-Loop' End-to-End e-Business Platform
SUNNYVALE, Calif. and PALO ALTO, Calif., Dec. 7 /PRNewswire/ -- Verano, a privately-held, pre-IPO company and Agilent Technologies Inc. (NYSE: A), today announced that Verano has acquired Agilent's Automation Integration Software (AIS) business. AIS is a division of Agilent Technologies Canada Inc., based in Calgary, Alberta, and is a provider of software products that enable real-time services for the management and integration of industrial processes and their synchronization with enterprise and e-business processes. Financial terms of the acquisition were not disclosed.
Under the terms of the agreement, Verano will acquire the assets of Agilent's AIS business, including key technologies and products and a license to AIS' intellectual property. Verano will maintain the AIS operations in Calgary while functionally integrating all managers and employees into Verano's operations. Verano will continue to sell and support existing AIS products and will provide customer, technical and sales support to current AIS customers. As part of the acquisition consideration, Agilent will take an equity stake in Verano.
"With this aggressive play, Verano has acquired more than 200 Global 1000 customers and 4,000 software installations. This has added tremendous growth and value to the company during a period when many other pre-IPO companies are downsizing or resource-constrained," said Sonia Bhanot, CEO of Verano. "By combining the skills and technology of Agilent's AIS division with our own products, Verano will go beyond supply chain automation and business-to-business integration to become the leader in the emerging e-business process management market."
Beyond Supply Chain Automation
Today, Verano provides a complete e-business platform that enables enterprises to link business processes internally and across trading partners or trading exchange participants engaged in manufacturing, distribution and logistics planning. With this acquisition, Verano is now poised to be the first business-to-business software infrastructure company to successfully integrate business-level processes and solutions with real-time production processes -- effectively providing real-time integration between the factory floor and the front office.
Verano's powerful visual process modeling capability allows business managers to react immediately to rapidly changing business rules while reducing transaction costs and improving operational efficiencies throughout the extended virtual supply chain. The combination of the technology from Verano and AIS eliminates constraints in both horizontal and vertical interaction of business functions and processes in enterprises and trading exchanges.
"Customers implementing e-business plans will soon realize that they need to extend their reach into the production level where goods are actually produced," said Rick Pearson, Agilent vice president for aerospace and broadband communications. "AIS products have a great track record in helping companies better manage their production facilities, integrate their operations and increase their agility. Verano will leverage these important relationships and integrate the AIS products into Verano's e-business platform to enable real-time interactions across the extended supply chain."
