Scrapps, re ....was that NO minimum was placed on the value of USR other than the 1.75 per share conversion factor. I've just accepted the fact that a deal is a deal, and that's the way it had to be done. I look at it this way: Say there was a minimum of $65. Now say COMS tanked to $25, and was still there now. So the merger gets completed with an exchange ratio of 2.6 shrs COMS for every share of USRX. Is anyone happier with 2.6 shrs of COMS at $25? I really doubt it. There would probably be even more unhappiness. Sure, you could then cash out of your USRX shares anytime you want for $65, but so what?

The one thing I was disappointed in was that there wasn't a bigger premium paid (it was something like 6% premium to the day's close). After the merger was announced, I read that a more traditional premium in the tech industry was on the order of 25-30%. And hey, I've always been more of a traditionalist. -GG-
