Do you have any information as to what is going to become of the ERLY shell, other than the merger into Torchmail Communications? The key is obviously Richard Surber, the president of ERLY and presumably the individual controlling Hudson Consulting Group.
ERLY emerged from bankruptcy on August 21, 1999 and currently has no assets and no liabilities. There are 15 million shares outstanding, of which 9,237,912 were sold to Hudson Consulting Group for $120,000 on March 22, 2000.
The company filed a PRE 14C on December 8, 2000.

It is going to do a 1 for 100 reverse split and merge the entity into a Delaware corporation named Torchmail Communications. Torchmail will be the surviving entity. There will be 150,000 shares outstanding, of which only 92,000 will be held by shareholders other than Hudson Consulting. Torchmail also appears to be a shell. My guess is that Richard Surber has some operating entity ready to do a reverse merger with Torchmail.
