Annual Shareholder's Meeting.

The meeting was this morning in Fredericton N.B.
All company business was passed (majority yes votes) including to give management an extension of their performance agreement. This agreement was for 2-2.5 million shares which will be given out when the company has a certain positive cash flow. (Most shares are for Mr. Neill and Mr.Tranquilla).The extension is for another 5 years.
These shares are already accounted for in the company's 38 million outstanding shares.

The shareholders appeared to be the same as last year.
Approx. 40 were in attendence representing almost half of the companies outstanding shares.

Many things were discussed.Shareholders were unhappy at the performance of the stock, but management did have some good things to say.

GOLD...... We have the technology. The technology has been proven and tested. There will be "NO" contracts regarding gold in the near future. GOLD PRICE TOO LOW. Companies are shutting down operations, not expanding.In the future, if gold price increases, there will be lots of potential.

COPPER...... We have the technology. The technology has been proven and tested. Bateman is interested in this technology the most. We are still waiting for a big company to finalize and have a process plant built. It could be $$$ for EMR but in what time frame??
Note: Bateman seems to be only interested in copper at present time. Apparently Bateman is not as beneficial for our company as we originally thought.
Since Ken Brunk left Bateman, they have become less and less interested (he was the big push for EMR). I noted that there are no longer any people from Bateman on our board of directors. They will still help us market Gold and Copper.

FLYASH...... This is the big stuff at present time. We have the technology. The technology has been tested and proven.
(Apparently EMR developed this technology with out Bateman. I thought Bateman had a big contribution, but they didn't).

Coal Burning utility companies. They burn coal to produce electricity. The waste product is Flyash. The flyash often has high levels of carbon left in it, making it unusable, and it is dumped into landfills. EMR uses microwaves to take all the carbon out of flyash. Low carbon flyash is highly valuable because it is used in cement/concrete/grout etc.

EMR has formed a "JOINT VENTURE" with people who are experts in the flyash industry.They have the capital and they know who and where to sell the product flyash.
EMR brings the technology to the venture.

***** A CONTRACT IS VIRTUALLY SIGNED***** and the press release should come out within the next 2-4 weeks at the latest.......According to Mr. Neill.
We will then find out who we are joined with, and what percentage of the contract $$ goes to EMR.
The 1st contract is with some utility company in the New England States ( U.S. dollars). 2 more potential contracts are also on the table. EMR will own a certain percentage of the Joint Venture. This joint venture will sign contracts an build plants for utility companies, turning high carbon flyash into low carbon flyash and our partners will sell the product in the flyash market. We will receive our percentage of the profits and we dont have to put up any capital (similiar to a royalty).These contracts will last for years and years. The plants will take 6-9 months to build.

EMR will get its share of profits for all contracts.(Mr. Neill and Mr.Tranquilla could not give us figures at present time but it will be revealed with the press release in the near future).
Huge market for this technology.

Hoping to have 3 contracts this year (2001), minimum. Likely more each year in the future, when EMR gets some cash flow and can hire and pay new personnel to manage and help set up new contracts.

Therefore........

EMR will form a joint venture with some other players (still un-named at present until press release).
EMR will bring their Flyash Technology to the joint venture and the other players will bring capital and the ability to market and sell the product flyash.
EMR will receive a percentage of all profits for all contracts.
An announcement should come out within the next 4 weeks (likely earlier) according to Mr. Neill.

Thats the summary for now.
