POCO: .105 x .125, stock spin off, reverse merger

Editor's note: POCO filed a Preliminary Proxy
Statement (PREM14A) to vote on:

1. To Spin Off one share of New Politics for every
share of POCO held. The Spin Off will allow the
Company's current management to continue the Company's
Historical business (www.Politics.Com) and seek a
buyer for it while allowing the Company's new
business (CALI) to operate and grow independently.
2. A reverse merger with Computer Assisted Learning
and Instruction, Inc. (CALI), a software development
and marketing company founded in 1990, that markets a
set of software applications that capitalize on the
emerging network computer-based teaching market. As of
October 2000, CALI has 34 employees. CALI is
now profitable, and expects to achieve net pre-tax
profits of approximately $1.2 million from worldwide
gross sales of ELLISTM products of approximately $7.2
million in 2000. Over the last four years sales have
grown by more than 100% per year. Their web site is
located at cali.com.
3. To approve a reverse stock split of the Company's
common stock on a 1 for 10 basis.
