SNC-Lavalin/Kellogg Brown & Root Joint Venture Awarded
Major Petro-Canada Project

CALGARY, ALBERTA--DECEMBER 21, 2000 - 12:10 EST
SNC-Lavalin and Houston-based Kellogg Brown &
Root today announced that their joint venture, named "Wild Rose",
has been awarded the Managing Contractor's role for the gasoline
Sulphur reduction project and the evaluation of a proposed bitumen
feedstock conversion at Petro-Canada's Edmonton area refinery.

"We look forward to offering Petro-Canada our local and worldwide
expertise in the petroleum industry, along with such a solid
partner as Kellogg Brown & Root," said Krish Krishnamoorthy,
Executive Vice-President of SNC-Lavalin.

The first approved phase of the project to be awarded to the Wild
Rose team is the detailed engineering, procurement and
construction of a gasoline feed desulphurization unit, which
Petro-Canada is installing at its refinery in Strathcona county,
just outside Edmonton, to meet the new federal regulations on
sulphur content in gasoline. The new unit will be on stream in
2004 and would form an integral part of any future bitumen
feedstock conversion at the refinery. Work on the Sulphur
reduction project is expected to peak during 2001/2002.

The Edmonton refinery currently processes light crude feedstock
into gasoline, diesel and a wide range of other products. With
assistance from Wild Rose, Petro-Canada is assessing the economic
potential for reconfiguring the refinery to use between 80,000 and
150,000 barrels of bitumen per day from the Athabasca region of
northeastern Alberta.
