The latest from Pan Am is that they are in talks of buying Carnival
Airlines to expand its operations. Pan Am is also in talks of acquiring Venezuela's Viasa airline pending gov't approval.

Pan Am To Code Share On Carnival Flights

MIAMI--(BUSINESS WIRE)--May 30, 1997--In a major step to begin the process of consolidation with Carnival Air Lines,
Pan American World Airways (ASE:PAA) will begin code-sharing on most Carnival flights starting June 15, with all flights to
be dually coded by July 1.

Pan Am is awaiting regulatory and shareholder approvals of its proposed acquisition of Carnival, which are targeted for
mid-summer. The code share agreement with Carnival allows Pan Am to place its well-recognized ``PA'' code on flights
currently operated by Carnival, enabling both carriers to aggressively market and promote routes such as New York to Fort
Lauderdale, Miami to Los Angeles and Islip, NY to a number of Florida cities.

``This agreement brings significant benefits to both carriers,'' said Martin R. Shugrue Jr., Pan Am's president and chief
executive officer. ``Pan Am gains an instant expansion of its network while Carnival gains increased traffic as a result of the
marketing and sales efforts of Pan Am. Most importantly, the traveling public will become familiar with the planned
combined route systems of Pan Am and Carnival,'' he pointed out.

Shugrue also noted that the Carnival code will eventually be eliminated after the acquisition, as the new company will be
marketed under the well-known Pan Am brand.
